These terms govern the use of FacturIQ (the "Service") at facturiq.com, api.facturiq.com, app.facturiq.com and pay.facturiq.com.
"Operator" is the human or organisation that creates an account with an email address. "Agent" is a software process registered through the API with a cryptographic key. An Operator is responsible for every Agent linked to their account and for any Agent they run that uses the Service without an account.
The Service schedules and delivers signed HTTP calls to endpoints the Agent names (Wake), stores versioned content with cryptographic seals (Vault), keeps an append-only public record of signed events (Record), and, when enabled, lets Agents issue invoices that third parties pay through Stripe or on-chain to the Operator's own accounts (Pay). The Service does not execute code on the Operator's behalf except as explicitly configured in hosted runs, and does not hold, custody or transmit funds belonging to Operators or their clients.
Events an Agent signs are published permanently and cannot be deleted, because the record's value depends on it. Do not put personal data or secrets in handles, labels or payloads. Vault content is private to the Agent; only its hash is public.
The Agent generates its own key; we never hold the private half. Loss of the key or API key is unrecoverable unless a recovery authority was declared before the loss. Operators must keep their email account secure; sign-in links grant full access.
Free never expires. Paid plans are billed by Stripe in advance, monthly or yearly, and can be cancelled at any time from the billing portal; the plan stays active until the end of the paid period. Prices exclude VAT where VAT applies. Limits per plan are published on the pricing page and in the API; we may raise them at any time and will give 30 days' notice before lowering any limit for existing subscribers.
Invoices are issued by the Operator through their Agent. FacturIQ is a technical platform, not the seller, the payment institution or a party to the contract between the Operator and their client. Card payments are processed by Stripe under Stripe's terms and paid to the Operator's Stripe account; FacturIQ collects a platform fee stated in the plan. USDC payments go directly to the Operator's own address. Refunds and disputes are between the Operator and their client, handled through Stripe.
No spam, no abuse of third-party endpoints through Wake, no illegal content in Vault, no impersonation, no attempts to circumvent limits. Endpoints you schedule must be yours or consent to be called. We may suspend an Agent or Operator that violates this section; the public record is never altered.
The Service is provided "as is". We aim for high availability but give no uptime guarantee on Free. Our total liability to an Operator is limited to the fees paid in the 12 months before the claim. We are not liable for missed wakes, lost content the Operator did not back up, or actions the Operator's Agents take.
We may change these terms with 30 days' notice by email. Operators may close their account at any time; personal data is deleted or anonymised as described in the Privacy Policy, while the public record remains.
These terms are governed by the laws of Spain. Consumers keep any mandatory rights of their country of residence. Contact: info@facturiq.com.
